Governing Document

The Junction Foundation was established as a Company Limited by Guarantee on 16th July 2008 and as a Registered Charity on 21st August 2008. The Junction was originally established under a constitution in 2000, amended in 2001 and 2004. The Memorandum and Articles of Association establish the objects and powers of the organisation.

Organisational Structure

The Junction Board of Trustees is serviced by three Sub-Committees made up of Trustees and co-opted Members. The Sub-committees focus on Personnel matters, Quality Assurance, Health and Safety, Development and Finance and Resources.

There are agreed standing orders for each Sub-committee.

Day-to-day running of the organisation is delegated to the Management Team members. The Junction’s policies and procedures determine which matters need to be raised through relevant Sub-committee meetings or directly to the Board of Trustees.

Trustee Recruitment, Induction and Training

One third of the Trustees are required under the conditions of the Memorandum and Articles of Association of the charity to stand down each year. New Trustees are appointed by the Board. The Trustees are inducted into the working environment of The Junction its policies and procedures.

Assessment of Risk

The Trustees have assessed the major risks to which the charity is exposed and are satisfied that systems are in place to mitigate The Junction’s exposure to major risks. Following legal advice The Trustees have ensured that appropriate levels of Professional Indemnity insurance are in place for paid staff, volunteers and Trustees. The Trustees will be focussing on developing appropriate Risk Management Procedures over the next 12 months.
